  1. The following terms and conditions shall apply to all deliveries and services of the Seller.<\/li>
  2. All orders require a written declaration by both parties. If a purchase contract is concluded without mutual declarations, either the seller’s written order confirmation or the buyer’s written order shall be authoritative.<\/li>
  3. Delivery options and prior sale are reserved in all cases. Orders from within Germany with a value of less than EUR 50.00 cannot be processed for calculatory reasons. For orders from abroad with a value of less than EUR 250.00, a processing fee of EUR 15.00 will be charged.<\/li>
  4. Verbal and other agreements, collateral agreements and the Buyer’s terms and conditions of purchase shall only be binding if they are recognized by the Seller in writing. If one or more conditions are not part of the contract in whole or in part due to individual agreements, the remainder of the contract shall remain effective.<\/li>
  5. Firmly placed orders and orders for custom-made products can only be canceled with our written consent.<\/li>
  6. Returned goods are subject to processing costs of up to 25% of the net value, but min. EUR 10.00 will be charged. Goods can only be returned by stating the LOT no. and the delivery bill or invoice number. The return of custom-made products is excluded.<\/li>
  7. Delayed delivery or non-delivery for reasons for which the seller is not responsible shall not entitle the buyer to claim damages. Events of force majeure shall release the seller from compliance with agreed delivery periods. In such cases, the seller is entitled to withdraw from the contract or to make the delivery later by agreement with the buyer.<\/li>
  8. Goods with obvious defects must be reported to the seller within 10 days of receipt – non-obvious defects that only become apparent within 3 months of the delivery date must be reported to the seller in writing immediately after discovery. The Seller shall remedy the defects free of charge or replace the defective goods, provided that they have been returned, have not been treated improperly, have not been modified or reworked by the Buyer or third parties, and have not been damaged by force majeure.
    The Seller shall not be liable for consequential damages.<\/li>
  9. The Seller shall not be obliged to check the samples, drawings and other documents made available to him for existing industrial property rights. Recourse claims arising from infringements of existing industrial property rights shall be borne exclusively by the purchaser.<\/li>
  10. All price lists are in EURO. Prices are quoted net ex works Engen excluding VAT. Packaging, insurance and transportation costs are charged separately.<\/li>
  11. Shipping is always at the expense and risk of the buyer.<\/li>
  12. The buyer must notify the carrier immediately of any damage to or loss of the goods during transportation.<\/li>
  13. All payments must be made without loss for the seller. Invoices are payable within 30 days of the invoice date without deduction or within 8 days with a 2% discount. Discounts can only be granted if all due payment obligations from previous deliveries have been fulfilled.<\/li>
  14. Payments in foreign currencies are credited at the net amount in euros. Price losses must always be borne by the buyer.<\/li>
  15. If the payment deadline is exceeded, the seller shall be entitled to demand default interest of 4% above the respective discount rate of the Deutsche Bundesbank, but at least 7% from the buyer.<\/li>
  16. The delivered goods shall remain our property until full payment has been made, incl. Interest and ancillary costs, property of the seller. In the event of a resale, the proceeds of the sale or the resulting claim shall be transferred to the seller.<\/li>
  17. Catalogs and price lists remain the property of the seller and are only intended for the sale of his products. These documents may neither be reproduced nor made accessible to unappointed persons or competing companies. All illustrations and dimensions in the catalogs are non-binding. The seller reserves the right to make changes or deviations that serve to improve or further develop the products and are therefore reasonable for the buyer.<\/li><\/ol><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
